Full Terms and Conditions
By accepting a quotation or estimate, paying a deposit, accepting an invoice, instructing us to commence work, or providing goods for repair or upholstery, you ("the Customer") agree to these Terms & Conditions.
1. Summary of Key Terms

This is not an insurance valuation or insurance replacement quote.

Quotes are valid for 30 days unless otherwise stated.

A 50% deposit is generally required before work commences.

In some small or low-value jobs, Luxxis may waive the deposit requirement at its discretion. Acceptance of the quote or instruction to proceed still constitutes acceptance of these Terms & Conditions.

The remaining balance is payable upon completion and no later than 14 days from the invoice date unless otherwise agreed in writing.

All goods remain the property of Luxxis Upholstery Ltd until paid for in full.

Additional charges may apply where hidden damage or variations are discovered.

Storage fees may apply after 14 days from notification that work has been completed.

Late payments may incur interest, administration fees, and debt recovery costs.

FULL TERMS AND CONDITIONS
1. Insurance:
Any quotation or estimate supplied by Luxxis Upholstery Ltd is prepared solely for the purpose of pricing the requested work.
Unless expressly stated otherwise in writing, our quotations:
-
are not insurance valuations;
-
are not replacement valuations;
-
should not be relied upon for insurance claim purposes.
Insurance providers may require their own independent valuation.
2. Quotes and Estimates:
All quotations and estimates are based on the information available at the time they are prepared.
Quotes are valid for 30 calendar days unless otherwise stated in writing.
A quotation does not guarantee pricing where the condition of an item cannot reasonably be determined until work has commenced.
Prices may be revised where hidden damage, customer-requested changes, or other unforeseen circumstances affect the scope of work.
3. Acceptance of Work
A quotation, estimate, or invoice is deemed accepted when any of the following occurs:
-
payment of the required deposit;
-
written or verbal approval to proceed;
-
acceptance by email, text message, or other electronic communication;
-
delivery or collection of goods for work to commence;
-
instruction to order materials; or
-
any other conduct indicating acceptance.
Acceptance constitutes agreement to these Terms & Conditions.
4. Deposits
A deposit of 50% of the quoted amount is generally required before:
-
materials are ordered;
-
work is scheduled; or
-
production commences.
For certain small or low-value jobs, Luxxis Upholstery Ltd may, at its sole discretion, waive the requirement for a 50% deposit. Where a deposit is not required, the customer's acceptance of the quotation, estimate, invoice, or instruction to proceed still constitutes acceptance of these Terms & Conditions and creates a binding agreement to pay all amounts due in accordance with these Terms.
Deposits are generally non-refundable once materials have been ordered, custom materials have been cut, or work has commenced, except where required by New Zealand law.
5. Ordering Materials and Scheduling
Once the required deposit has been received (or where a deposit has been waived):
-
materials will be ordered where required;
-
work will be scheduled;
-
collection or delivery arrangements may be made.
Luxxis operates on a first come, first served basis.
Work generally commences once all required materials have been received.
Estimated completion dates are provided in good faith but are estimates only. Delays caused by suppliers, freight companies, custom-ordered materials, hidden repairs, illness, weather events, or circumstances beyond our reasonable control do not constitute a breach of contract.
6. Variations and Hidden Damage
Furniture and upholstered items are frequently dismantled during restoration.
Hidden defects may only become apparent once work has commenced.
These may include (but are not limited to):
-
broken or weakened frames;
-
damaged timber;
-
broken springs;
-
failed webbing;
-
deteriorated foam;
-
corrosion;
-
previous repairs;
-
insect damage;
-
mould;
-
water damage; or
-
other structural defects.
Where reasonably practicable, Luxxis will advise the customer before proceeding with significant additional work.
Any additional labour, materials, repairs, design changes, or customer-requested variations will be charged in addition to the original quotation.
7. Customer-Supplied Materials
Where customers provide their own fabrics, leather, foam, vinyl, or other materials:
-
Luxxis accepts no responsibility for manufacturing defects;
-
we do not guarantee suitability or durability;
-
additional labour resulting from unsuitable materials may incur additional charges;
-
replacement materials remain the customer's responsibility.
8. Payment Terms
Unless otherwise agreed in writing:
-
the remaining balance is payable immediately upon completion;
-
payment must be received no later than 14 days from the invoice date.
Luxxis reserves the right to withhold release, collection, or delivery of goods until all outstanding amounts have been paid.
9. Retention of Ownership
Ownership of all goods, materials, products, and work supplied by Luxxis remains with Luxxis Upholstery Ltd until all outstanding amounts have been paid in full.
10. Collection and Storage
Customers are expected to collect completed items promptly after being notified that work is complete.
Items not collected within 14 days may incur reasonable storage charges.
Luxxis accepts no responsibility for deterioration resulting from extended storage where collection has been delayed by the customer.
11. Late Payments
If payment is not received by the due date, Luxxis may:
-
charge interest on overdue amounts at a reasonable commercial rate;
-
suspend further work;
-
decline future work;
-
refer the account to a debt collection agency or solicitor.
The customer agrees to reimburse Luxxis for all reasonable costs incurred in recovering overdue amounts, including:
-
administration costs;
-
debt collection fees;
-
legal costs;
-
court costs; and
-
enforcement expenses.
Interest may continue to accrue until all outstanding amounts have been paid.
12. Construction Contracts Act 2002
Where applicable, Luxxis reserves the right to issue payment claims and exercise any rights available under the Construction Contracts Act 2002.
Nothing in these Terms limits any rights available under New Zealand legislation.
13. Risk and Care of Goods
Customer-owned goods remain at the customer's risk.
Luxxis will exercise reasonable care while goods are in our possession but shall not be liable for loss, theft, fire, flood, natural disaster, accidental damage beyond our reasonable control, or any other event outside our control.
14. Warranty
Luxxis warrants that workmanship will be carried out with reasonable care and skill.
This warranty does not cover:
-
normal wear and tear;
-
accidental damage;
-
misuse or abuse;
-
improper cleaning methods;
-
fading caused by sunlight or environmental exposure;
-
damage resulting from customer-supplied materials;
-
deterioration of existing furniture components unrelated to our workmanship.
15. Consumer Guarantees Act
Nothing in these Terms excludes or limits any rights available under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 where those Acts apply.
Where the customer acquires our goods or services for business purposes, the parties agree, to the extent permitted by law, that the Consumer Guarantees Act 1993 does not apply.
16. Force Majeure
Luxxis shall not be liable for delays or failure to perform obligations where such delays result from events beyond our reasonable control, including supplier shortages, freight delays, industrial action, pandemics, government restrictions, natural disasters, severe weather events, or other unforeseen circumstances.
17. Privacy
Personal information collected by Luxxis Upholstery Ltd will be handled in accordance with the Privacy Act 2020.
Information is collected only for providing quotations, completing work, invoicing, communicating with customers, and other legitimate business purposes.
18. Governing Law
These Terms & Conditions are governed by the laws of New Zealand.
Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the New Zealand courts.
